Venture debt raise: preparing the lender room

Venture debt lenders lend to companies that are not yet profitable, so they underwrite the equity behind the company as much as the company itself. The room should show recent financing, investor support, cash runway, burn and the plan the loan extends.

Debt and structured capital

How this raise works

Venture debt usually comes from specialist banks and venture lending funds, often within months of an equity round. It is commonly structured as a term loan with an interest-only period, a draw window and warrants for the lender, and sometimes a revolver tied to receivables for companies with revenue.

Lenders ask a few questions. Who are the investors and will they keep funding? How many months of runway does the company have with and without the loan? What happens to burn if growth slows? For companies with revenue, they also look at retention, gross margin and customer concentration.

Terms matter as much as price. Read financial covenants, minimum cash or revenue tests, material adverse change clauses, cash management requirements that move accounts to the lender, prepayment fees and warrant coverage. Lenders take a security interest in company assets, sometimes including IP or a negative pledge on it.

Setting up the room

  1. 01

    Time the raise

Start soon after an equity round, when runway is longest and investor support is fresh.

  2. 02

    Build runway cases

Show runway with and without the loan and under a slower growth case. Lenders build these anyway.

  3. 03

    Clear lien and IP questions

Pull UCC search results and confirm IP ownership before lenders ask.

  4. 04

    Run a small lender process

Invite a short list, give each the same folders and keep each lender's term sheet private.

  5. 05

    Compare total cost

Line up interest, fees, final payment, warrants and covenants side by side before choosing.

Common mistakes

  • Comparing lenders on interest rate alone and ignoring warrants and fees.
  • Accepting a revenue covenant the forecast barely meets.
  • Missing old liens that block the new lender's first priority.
  • Drawing debt with no clear plan for the next equity round.

Questions and answers

When does venture debt make sense?

Commonly to extend runway between rounds or fund specific spending, when the company has strong investor backing and a clear path to its next milestone.

Do lenders need a full data room?

Less than an equity investor, but more than a deck. Financials, forecast, cap table, investor list and liens are the core.

Will my investors see the lender folders?

Only if you grant access. Keep lender term sheets in folders that only the lender and your team can open.
