Planning bands for quoted rooms

For the 10 rooms without a public price we use two planning bands, scaled by data volume. They are our own ranges for budgeting, not vendor quotes; ask each vendor for a written price.

Data volumeInstitutional platforms, a monthQuoted mid-market rooms, a month
Up to 5 GB (deck, model, PPM, core legal)$1,400 to $3,900$500 to $1,700
5 to 20 GB (fund raise or Series B)$1,950 to $5,450$700 to $2,400

How data rooms bill a raise

The billing model matters more than the headline price on a long raise. Five ways vendors charge, and the raises each one suits.

01

Flat monthly

Price x months

Suits Long fund raises and rounds with many investors, since readers are not counted.

Watch Storage or user caps inside the plan.

Ellty, SecureDocs, CapLinked, Digify

02

Per user

Price x users x months

Suits One or two people sending decks to a small list.

Watch Whether investors count as users, and the cost when the team grows.

Box, DocSend

03

Per project quote

Quoted fee for a fixed term

Suits Bank-led debt raises and large processes with many parties.

Watch What happens when the raise runs past the term.

Most quote-only rooms

04

Per page or per GB

Units uploaded x unit rate

Suits Rarely a good fit for a raise: the room grows with every new file.

Watch Overage after the included volume.

Older billing on some legacy plans

05

Annual subscription

Yearly fee, usually billed up front

Suits Managers who keep the room for LP reporting after the close.

Watch Auto-renewal and price rises at renewal.

Contract fine print to check

Hidden costs in a raise rarely sit in the monthly price. They sit in these eight clauses.

  1. 1
    Minimum term

Is there a minimum number of months, and can the room close early without a fee?

  2. 2
    Auto-renewal

Does the plan renew on its own, and how much notice do you need to give?

  3. 3
    What counts as a user

Are investors free readers, or does each one count against a user limit?

  4. 4
    Storage and pages

What volume is included, and what does each extra GB or page cost?

  5. 5
    Archive at the end

Is an encrypted copy of the room included when it closes, or charged separately?

  6. 6
    Price at renewal

Is the monthly rate fixed for the raise, or can it rise after the first term?

  7. 7
    Support hours

Is support around the clock in the price, or an add-on for investors in other time zones?

  8. 8
    Read-only extension

Can the room stay open read-only for LP reporting at a lower rate?

How to estimate the budget

  1. Set the term. Count from the first investor invite to the final close, then add the months the room stays open for reporting or post-closing requests.
  2. Count your users. Only people on your side matter for per-user plans; confirm investors read free.
  3. Size the files. A company round fits in a few GB; property, project and debt raises with reports and scans run much larger.
  4. Price two or three rooms. Use the calculator, then ask quote-only vendors for written prices with the same inputs.
  5. Add the fine print. Archive copies, overage and renewal terms from the list above.

Ways to spend less

  • Open the room when the first serious investor asks, not at the start of outreach.
  • Pick monthly billing for raises under a year.
  • Close or downgrade the room soon after the final close.
  • Keep one version of each file; duplicates add volume on metered plans.
  • Use the trial to build the index, so paid months start with a finished room.

Monthly or annual billing

If annual billing gives a discount, it beats monthly billing once the room stays open longer than the break-even point below.

Questions and answers

How much does a data room cost for fundraising?

Rooms with a listed price on this site start at $120 a month for a flat plan; Ellty lists $149 a month. Quote-only rooms sit in our planning bands of $500 to $1,700 (mid-market) and $1,400 to $3,900 (institutional) a month at small data volumes.

Why do so many data rooms not publish prices?

Large platforms price by project size, data volume and service level, and many sell through banks and law firms. A listed price is more common among rooms built for issuers who run the room themselves.

Is a data room cost a fund expense or a management company expense?

It depends on the LPA. Many funds treat fundraising costs as organizational expenses up to a cap; others leave them with the manager. Check your fund documents with counsel.

What does a free trial cover?

Ellty offers a 14-day free trial with the full feature set. Other vendors that offer trials set their own length and limits; check whether investors can be invited during the trial.

Should I pay monthly or annually?

Monthly for most company rounds and debt raises. Annual can make sense for a fund that keeps the room through final close and into LP reporting; the break-even table above shows when.

Which data room fits your raise?
