How to use the checklist
- Pick the raise type. The list keeps only the documents that raise needs.
- Create the numbered folders in your data room in the same order.
- Tick a document only when the final version is uploaded, not when a draft exists.
- Print the list for the deal team or counsel; ticks print with it.
- Before the first investor gets access, check that every ticked file opens and carries a watermark.
Questions and answers
What documents go in a fundraising data room?
The offering summary and deck, entity and governance documents, capitalization, financials, track record and team, the DDQ or diligence answers, key contracts and assets, securities compliance and the subscription documents. The checklist filters them by raise type.
Do I need every document before the first meeting?
No. Have the summary, deck and terms ready for first meetings; the rest should be final before investors start diligence. Draft documents in the room cause repeat questions.
Where are my ticks saved?
In your own browser only (local storage). Nothing is sent to us. Clearing site data or using another browser starts a fresh list.
How do I number the folders?
Use two-digit prefixes (01, 02 ...) for folders and a second level for subfolders (03.1, 03.2). Investors can then cite a file by its number in questions.
