Solar project finance: the room for tax equity and lenders
A solar financing room proves the project will be built, connected and paid. Tax equity investors, tax credit buyers and construction lenders read site control, interconnection agreements, the power purchase agreement, the EPC contract, the energy yield report and the tax credit analysis.

How this raise works
Utility-scale and commercial solar projects are commonly financed with a construction loan, a holdco term loan and either tax equity or a sale of tax credits. The developer may also sell the project or bring in an equity partner at notice to proceed. Each capital provider reads the same core files with a different focus.
The project's value rests on contracts. Site control through leases or easements, an interconnection agreement with capacity and upgrade costs, a PPA or other offtake with a creditworthy buyer, an EPC contract with a firm price and schedule, and module and inverter supply terms. An independent engineer reviews the design and the energy yield estimate, usually expressed as P50 and P90 output.
Federal credits under IRC sections 45Y and 48E drive much of the value, and 2025 legislation ended them for wind and solar facilities placed in service after 2027, with a carve-out tied to when construction began. Domestic content, prevailing wage and apprenticeship and foreign entity rules also affect the credit amount. Check current IRS guidance and keep a dated tax memo in the room.

|---|---|---|---|---|---|---|---|
| Q&A module | LPs and lead investors post questions on a file; the deal team routes each one, drafts a reply and decides who sees it. | ||||||
| Drag-and-drop folders | An entire numbered folder tree goes up in a single drop, structure intact. | ||||||
| Investor activity log | A per-investor record of opens, pages and minutes, which tells the IR team who is in diligence and who stalled. | ||||||
| Dynamic watermarks | Stamps the reader and a timestamp over every page, so a PPM that leaks carries its source with it. |
Setting up the room
- 01
Index the permits and land
List every parcel and permit with status and date. Investors build their closing checklist from this list.
- 02
Date the tax analysis
Keep the tax memo, begin-construction evidence and wage records together with dates so credit buyers can rely on them.
- 03
Give the engineer direct access
The independent engineer needs design files, studies and contracts. Grant a technical folder set and track its questions.
- 04
Separate investor groups
Tax equity, credit buyers and lenders negotiate different documents. Keep each term sheet folder private to that party.
- 05
Keep the room live to COD
Use it for construction reports and conditions to funding after financial close.
Common mistakes
- Interconnection upgrade costs that are not reflected in the model.
- No clear evidence of when construction began for tax credit purposes.
- Module supply documents that do not support origin and traceability checks.
- Mixing tax equity and lender negotiations in shared folders.

Questions and answers
Who reviews a solar data room?
Tax equity investors or tax credit buyers, construction and term lenders, their counsel, the independent engineer, insurance advisers and sometimes an acquirer of the project.
What is P90 output?
An estimate of annual energy production that the project is expected to exceed with 90% probability. Lenders commonly size debt on a P90 or similar conservative case.
Do I need a separate room for the credit sale?
Not usually. One room with permissions by party works, as long as each buyer's term sheets and negotiations stay private.
