Data room for raising an impact fund
An impact fund raise is judged twice: on financial returns and on whether the impact claims hold up. The data room should carry the usual PPM, LPA, DDQ and track record plus an impact thesis, the measurement framework, portfolio-level impact data with sources, and any link between impact results and carry.

How this raise works
Impact funds raise from foundations (sometimes using program-related investments), development finance institutions, family offices, faith-based investors, pensions with impact mandates and high net worth individuals. Some LPs accept below-market returns for deeper impact; most expect market-rate returns, so the fund should state its target plainly.
LPs test the impact case for evidence. They want a theory of change, the metrics chosen (many funds map to IRIS+ or a similar catalogue), how data is collected from portfolio companies, whether results are verified by a third party, and how the manager handles companies that miss impact targets. Funds aligned with the Operating Principles for Impact Management may include their disclosure statement and verification report.
Language needs care. Claims about impact in fund marketing are subject to the same antifraud rules as any other statement, and EU investors may ask how the fund would be classified under the EU sustainable finance disclosure rules. Keep each claim traceable to a source document in the room.

Setting up the room
- 01
State the return target honestly
Say whether the fund seeks market-rate or concessionary returns. Mismatched expectations end LP conversations late.
- 02
Source every impact number
Each figure in the deck should point to a dated document in the impact results folder.
- 03
Show the failures too
Include companies that missed impact goals and what the manager did. Credible impact reporting is not a highlight reel.
- 04
Explain impact-linked carry
If carry depends on impact results, give the formula, the metrics and who verifies them.
- 05
Keep impact and financial data aligned
Use the same company list and dates in both folders so LPs can cross-check.
Common mistakes
- Impact claims in the deck that cannot be traced to any document.
- Output counts presented as outcomes with no explanation of the difference.
- Impact-linked carry described in the deck but not in the LPA.
- No position on how the fund would be classified for EU investors when pitching them.

Questions and answers
What do LPs look for in an impact fund?
Financial returns that match the stated target, a clear theory of change, a credible measurement framework, verified impact data and governance that ties impact to decisions and, sometimes, to carry.
Do impact funds offer lower returns?
Some target concessionary returns on purpose, but most impact funds seek market-rate returns. The PPM should state the target clearly.
How should an impact fund report impact?
With a defined set of metrics, collected on a regular schedule from portfolio companies, ideally checked by a third party and reported alongside financial results.
