Issuing capital call notices through a data room
A capital call notice tells each LP how much of its commitment to wire, by when and why. Post one notice per LP in its private folder, alert the LP by a separate channel, keep wire instructions in a fixed and verified place, and track receipts against the due date.

How this raise works
In a drawdown fund, LPs commit capital at closing and the GP calls it as investments, fees and expenses come due. The notice period is set in the LPA and is commonly around ten business days. Each notice states the amount, the purpose split between investments, management fees and expenses, the due date, the LP's remaining unfunded commitment and the wire details.
ILPA released an updated Capital Call and Distribution Template in 2025 to make notices more uniform and to map them to its new Performance Template. LPs who receive dozens of notices a quarter process the standard format faster, and that makes the GP easier to work with.
Wire fraud is the real risk. Criminals copy notice formats and send changed bank details. A room where notices only appear in the LP's own folder, where wire instructions never change without a call-back, and where every view is logged gives LPs a reference point they can trust.

Setting up the room
- 01
Load the standard template
Prepare notices in a consistent format, ideally the ILPA Capital Call and Distribution Template, with every field filled.
- 02
Route notices per LP
Bulk upload the individual notices so each lands only in its LP folder.
- 03
Alert, do not attach
Tell LPs a notice is live without attaching it or repeating bank details in the email.
- 04
Protect wire details
Keep instructions in one locked file, require two-factor login and confirm any change by phone.
- 05
Track funding
Mark receipts daily until the due date and follow up early with anyone not yet funded.
Common mistakes
- Emailing PDFs with bank details, which trains LPs to trust lookalike emails.
- Missing the purpose split, so LPs cannot book fees and investments correctly.
- Sending a notice inside the LPA notice period by mistake.
- No record of when an LP opened the notice if a default dispute follows.

How much notice do LPs get?
The LPA sets it. Around ten business days is common, but check your agreement.
What happens if an LP does not fund?
