Data room for raising a real estate fund

A real estate fund data room shows LPs the sponsor's asset-level record by property, the strategy (core-plus, value-add or opportunistic), the PPM and LPA, and the structuring choices that matter to tax-exempt, ERISA and non-US investors. Organize the track record by deal so LPs can see entry, business plan and exit for each property.

  • 25%Benefit plan investor share of any equity class above which fund assets can become ERISA plan assets

Fund raises

How this raise works

Closed-end real estate funds raise from pensions, endowments, insurers, sovereign wealth funds, family offices and high net worth investors, often through private wealth platforms. Smaller sponsors who started with deal-by-deal syndications commonly move to a blind pool fund once they have a record, and LPs then want to see every prior deal, not only the winners.

LPs review deal-level returns with the original business plan against what happened, debt at entry and over time, development and lease-up risk, and the sponsor's property management arrangements, including affiliate fees. Many examine market selection and how the team sources off-market deals.

Structure gets close attention. Funds with benefit plan investors either keep them below 25 percent of each class of equity under the Department of Labor plan asset regulation or qualify as a real estate operating company. Tax-exempt LPs ask about unrelated business taxable income from debt-financed property, and non-US LPs ask about FIRPTA and US filing exposure. A clear structure chart and tax summary answer most of these early.

Investor activity logA per-investor record of opens, pages and minutes, which tells the IR team who is in diligence and who stalled.
Dynamic watermarksStamps the reader and a timestamp over every page, so a PPM that leaks carries its source with it.
Q&A moduleLPs and lead investors post questions on a file; the deal team routes each one, drafts a reply and decides who sees it.
Drag-and-drop foldersAn entire numbered folder tree goes up in a single drop, structure intact.

Setting up the room

  1. 01

    List every prior deal

LPs compare the full list to what they hear in meetings. Leaving deals out is one of the fastest ways to lose an LP.

  2. 02

    Show plan versus outcome

For each property, give the original underwriting next to actual results so LPs can judge forecasting discipline.

  3. 03

    Decide the ERISA approach early

Choose between staying under the 25 percent benefit plan investor limit and operating as a REOC, and put the reasoning in the structure folder.

  4. 04

Disclose affiliate fees in one schedule

Property management, construction and leasing fees paid to affiliates should be easy to find and total.

  5. 05

    Use per-property subfolders

Bulk upload property files into the same subfolder order so LPs can compare deals side by side.

Common mistakes

  • A track record that only shows realized winners.
  • Affiliate fees spread across several documents with no total.
  • No answer ready for UBTI and FIRPTA questions from exempt and non-US LPs.
  • Benefit plan investor percentage not tracked as subscriptions arrive.

Questions and answers

What goes into a real estate fund data room?

The PPM and LPA, a deal-level track record with plan versus actual, case studies, pipeline, team and affiliate fees, structure and tax memos, the DDQ and sample property-level reports.

What is the ERISA 25 percent test?

Under the Department of Labor plan asset regulation, if benefit plan investors hold 25 percent or more of the value of any class of equity in a fund, the fund's assets can be treated as plan assets unless an exception, such as the real estate operating company exception, applies.

How is a real estate fund different from a syndication?

A syndication raises money for one named property. A fund raises a blind pool for several properties under a strategy, so LPs rely more on the sponsor's record and process.
