Film financing and the room that holds the deal together

A film is usually financed from several pieces: equity, presales to distributors, gap or senior loans, and production incentives. Each financier checks chain of title, the budget, the completion bond and the recoupment waterfall. One room with a folder per financing piece keeps every party reading the same documents.

Raises by sector

How this raise works

Independent film budgets are commonly assembled rather than raised in one go. Producers combine equity from individuals or film funds, presales of distribution rights by territory, bank loans against those presales and against incentives, and state or foreign production tax incentives. Equity interests in a film company are securities, so the equity raise usually relies on an exemption such as Reg D.

Financiers check that the producer owns the rights: the chain of title from underlying material to screenplay, plus errors and omissions insurance. Lenders require a completion guarantee, or bond, that the film will be delivered. The budget, schedule and cast attachments are read closely because presales often depend on them.

The recoupment waterfall decides who is paid back first. A collection account management agreement often routes revenue to the parties in order. Every financier wants to see where it sits, which is why a clear, up-to-date waterfall document belongs in the room.

Questions and answers

How are independent films financed?

Commonly from a mix of equity, presales of distribution rights, gap or senior loans and production incentives, with a completion bond guaranteeing delivery.

What is chain of title?

The documents proving the producer owns the rights to make and exploit the film, from the underlying material through every writer.

Is film equity a security?

Generally yes. Interests in a film company sold to passive investors are securities, so the raise needs an exemption or registration.
